Securitize Considers Public Debut via SPAC Merger

Securitize, a prominent player in the real-world asset (RWA) tokenization space, is reportedly in discussions to go public through a merger with Cantor Equity Partners II Inc., a special-purpose acquisition company (SPAC) affiliated with Cantor Fitzgerald LP.

Key Takeaways:

  • Securitize is exploring a $1 billion SPAC merger with Cantor Fitzgerald's blank-check company.
  • The firm, backed by BlackRock and Morgan Stanley, is a leader in tokenizing real-world assets.
  • A successful listing would mark a significant milestone for blockchain-native companies entering the public markets.

The potential deal could value Securitize at over $1 billion, representing a major development for the burgeoning RWA tokenization sector, according to Bloomberg sources.

However, sources indicate that discussions are ongoing, and Securitize might ultimately choose to remain private. Both Securitize and Cantor Fitzgerald representatives have declined to comment.

If the merger proceeds, Securitize would become one of the few blockchain-native firms to go public via a SPAC during a period of renewed interest in tokenized finance from institutional investors.

Securitize's platform converts traditional assets like S&P indices, U.S. Treasuries, and real estate into digital tokens. It also supports BlackRock's BUIDL fund, a leading onchain U.S. Treasuries vehicle with over $2.8 billion in tokenized assets. Securitize is registered with the SEC and holds operational licenses in Europe and Japan.

The company recently enhanced its infrastructure by incorporating offramps for BUIDL and VanEck's VBILL tokenized funds using Ripple's RLUSD stablecoin, aiming to improve redemption and settlement processes.

Cantor Equity Partners II, which raised $240 million in its May IPO, is headed by Brandon Lutnick, chairman of Cantor Fitzgerald.

A successful merger could position Securitize as a frontrunner in bridging traditional capital markets with blockchain-based financial products.

Animoca Brands estimates that tokenization of RWAs could unlock a $400 trillion traditional finance market. The 2025 Skynet RWA Security Report projects the tokenized RWA market could reach $16 trillion by 2030. Tokenized U.S. Treasuries alone are projected to reach $4.2 billion this year.

Investment Considerations

As always, investors should consider their risk tolerance and investment timeline before making allocation decisions. Bitcoin remains a volatile asset despite increasing institutional adoption.
